1. Acceptance of Terms

By accessing or using the NewOrdr Platform ("Platform"), operated by Compubility, Inc., you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Platform. These Terms apply to both business owners ("Merchants") and their customers ("Clients").

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform you represent that the information you provide is accurate and complete, and that you have the legal capacity to enter into these Terms.

3. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@newordr.com if you suspect unauthorized access to your account. We are not liable for any losses caused by unauthorized account use.

4. Acceptable Use

You may not use the Platform to violate any applicable law or regulation, infringe third-party intellectual property or privacy rights, transmit harmful, fraudulent, or deceptive content, attempt unauthorized access to any system or data, or interfere with other users' access to the Platform. We reserve the right to suspend or terminate accounts that violate these rules.

5. Business Storefronts

Merchants are solely responsible for the accuracy of their listings, pricing, availability, staff information, and compliance with all applicable laws, including consumer protection, licensing, and tax requirements. NewOrdr is a platform provider and is not a party to transactions between Merchants and Clients.

6. Payments & Stripe

All payment card transactions on the Platform are processed by Stripe, Inc. on behalf of the applicable Merchant. By providing payment details and making a payment, you: • Authorize Stripe to charge your payment method for the amount shown. • Agree to Stripe's Terms of Service and Privacy Policy (stripe.com). • Acknowledge that NewOrdr does not store your raw card details and is not responsible for errors or failures in Stripe's processing. Stripe processing fees and any applicable service fees will be disclosed at checkout. Merchants are responsible for setting their own prices, taxes, and refund policies.

7. Merchant Subscriptions

Merchant accounts may be subject to subscription fees payable to NewOrdr. Subscription fees are billed in advance on a recurring basis and are non-refundable except where required by applicable law. We will provide at least 30 days' notice before changing subscription pricing. Failure to pay applicable fees may result in suspension or termination of your Merchant account.

8. Refunds & Cancellations

Refund and cancellation policies for bookings and orders are set by each Merchant. NewOrdr does not guarantee refunds for services booked or ordered through the Platform. If a Merchant is unable to fulfill a booking, contact the Merchant directly. For disputes about NewOrdr subscription billing, contact support@newordr.com.

9. Intellectual Property

NewOrdr and Compubility, Inc. retain all rights, title, and interest in the Platform, its software, design, and trademarks. You retain ownership of business content you upload (logos, service descriptions, photos). By uploading content, you grant NewOrdr a non-exclusive, worldwide, royalty-free license to display and use that content solely to operate the Platform.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NewOrdr and Compubility, Inc. shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or service interruptions, arising from your use of the Platform. Our total aggregate liability for any claim shall not exceed the fees you paid to us in the three months preceding the claim.

11. Termination

We may suspend or terminate your access to the Platform at any time for violations of these Terms, non-payment, or for any other reason with reasonable prior notice where practicable. You may close your account by contacting support@newordr.com. Termination does not relieve you of any payment obligations already incurred.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms that cannot be resolved informally shall be settled by binding arbitration administered in Atlanta, Georgia, except where prohibited by applicable law.

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a prominent notice on the Platform before the changes take effect. Continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
